These Terms of Service ("Terms") govern your use of the website at profitaiclash.life (the "Site") and your registration for any programme, workshop, corporate training, or other service (together, "Services") offered by Profit AI Clash Pte. Ltd. (UEN 202963847M), of 1 Wallich Street, #14-01, Guoco Tower, Singapore 078881 ("Profit AI Clash", "we", "us", or "our"). By using the Site or registering for a Service, you agree to be bound by these Terms. If you do not agree, please do not use the Site or register for a Service.

1. About Profit AI Clash

Profit AI Clash operates a practice-loft studio in Tanjong Pagar, Singapore, offering vocational courses and related services that teach practical AI-assisted work skills, including AI tool use, prompt engineering, packaging AI services, pricing AI work, and related income and career skills. We are a private vocational training provider. We are not a licensed financial adviser, career placement agency, or life coaching service, and nothing we offer should be treated as such.

2. Eligibility and registration

Services are generally intended for individuals aged 18 and above. Corporate training may include nominated employees of a client organisation. Registration for a lane, workshop, or service is confirmed once we have received your registration details and, where applicable, payment. We reserve the right to decline or cancel a registration at our discretion, including where a cohort is full, where information provided is inaccurate, or where conduct is inconsistent with a respectful learning environment.

3. Pricing and payment

All prices published on the Site are quoted in Singapore dollars (SGD) and are current as of the date shown, but may change for future cohorts without affecting registrations already confirmed. Price ranges reflect variation in lane length, add-ons, and cohort size. Corporate training and private coaching are quoted individually following a scoping call. Payment terms, accepted methods, and invoicing details are confirmed at the point of registration. Fees are due in accordance with the payment schedule agreed at registration, and access to a lane or service may be withheld if payment is not received as agreed.

4. Cancellations, transfers, and refunds

We understand that plans change. Our general approach is as follows, though specific terms may be confirmed in writing at registration for a particular cohort:

• Cancellations made at least 14 days before a lane or workshop starts are eligible for a transfer to a later cohort or a refund, less any non-recoverable third-party costs already incurred.
• Cancellations made between 7 and 14 days before the start date are eligible for a transfer to a later cohort, subject to availability, but not a cash refund.
• Cancellations made less than 7 days before the start date, or failure to attend without notice, are not eligible for a transfer or refund.
• We may cancel or reschedule a lane, workshop, or session due to low enrolment, coach unavailability, or circumstances beyond our reasonable control. In that case, we will offer a transfer to another cohort or a full refund for the affected session.

5. Conduct at the practice loft

Learners are expected to treat coaches, staff, and fellow learners with respect, to attend sessions punctually, and to follow reasonable studio guidelines communicated at booking or on arrival. We reserve the right to remove a learner from a session or a cohort, without refund, for conduct that is abusive, disruptive, or unsafe.

6. Certificates and outcomes — read carefully

This section sets out important limits on what our Services do and do not provide, and we ask that you read it in full before registering.

Profit AI Clash courses teach practical AI-assisted work skills intended to support income growth, career upside, and the packaging and delivery of AI-related client services. Certificates issued on completion of a lane, workshop, or the capstone confirm participation and attendance only. They are not a professional licence, a government-recognised academic qualification, or a guarantee of any employment, client, income, profit, or salary outcome. We make no representation, and you should not rely on any representation, that completing a lane or service will result in a specific level of income, a specific number of clients, or any particular financial result. Outcomes depend on factors outside our control, including your own effort, market conditions, pricing decisions, and the quality of your ongoing practice after a lane ends.

AI tools referenced or used during our Services, including but not limited to ChatGPT, Copilot, and Claude, are third-party products that can produce inaccurate, incomplete, or biased output. We teach methods for checking AI output quality, but we do not warrant the accuracy of any AI-generated content, and you remain responsible for reviewing and verifying any AI-assisted work product before relying on it or delivering it to a client.

Nothing in our Services constitutes financial advice, investment advice, legal advice, or tax advice. Where our programmes discuss pricing, proposals, or income planning, this is general vocational education, not personalised advice for your specific financial situation, and you should seek independent professional advice before making financial decisions.

7. Intellectual property

All course materials, briefs, rubrics, templates, and content provided as part of our Services, and all content on the Site, remain the property of Profit AI Clash Pte. Ltd. or our licensors. Learners may use materials provided during a lane for their own personal or professional development, but may not resell, redistribute, or publicly republish our proprietary course materials without our prior written consent. Work you personally create during a lane, such as your own portfolio pieces, remains yours, though any underlying brief, rubric, or template we provided remains our property.

8. Photography and testimonials

From time to time we may photograph sessions at the practice loft or invite learners to share a testimonial. We will ask for your consent before using your image or words in our marketing, and you may decline or withdraw consent at any time by contacting us.

9. Limitation of liability

To the fullest extent permitted by Singapore law, Profit AI Clash Pte. Ltd. shall not be liable for any indirect, incidental, special, or consequential loss, including loss of income, profit, business opportunity, or data, arising from your use of the Site or participation in our Services. Our total liability for any claim arising out of or in connection with a Service shall not exceed the amount you paid for that specific Service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by our negligence.

10. Force majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, public health measures, government action, power or internet outages, or industrial action. Where a force majeure event materially affects a booked lane or service, we will offer an affected learner a transfer to a later cohort or a proportionate refund, in line with section 4 above.

11. Severability and assignment

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of business assets, subject to the confidentiality protections described in our Privacy Notice.

12. Entire agreement

These Terms, together with our Privacy Notice and Cookie Notice, constitute the entire agreement between you and Profit AI Clash Pte. Ltd. in relation to your use of the Site and registration for our Services, and supersede any prior understanding or agreement on the same subject matter, except where a separate signed agreement for a specific corporate training engagement expressly states otherwise.

13. Governing law and disputes

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms, the Site, or our Services shall be subject to the exclusive jurisdiction of the courts of Singapore, without prejudice to any right we may have to seek interim relief in any other jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in our Services or legal obligations. The "last updated" date at the top of this page will change whenever we make a material revision. Continued use of the Site or registration for a Service after an update constitutes acceptance of the revised Terms.
